What is InvestPlus Industrial REIT?

InvestPlus Industrial REIT is a private industrial real estate investment trust focused on Western Canada since 2015. It owns income-producing industrial properties. Qualified investors may subscribe for Units under an Offering Memorandum — Units are not listed on a stock exchange.

What are you actually investing in?

You are buying Units in a trust that owns industrial buildings — warehouses, light-industrial, and related commercial space used by operating businesses in Alberta and Saskatchewan. You are not buying a public stock, and you are not personally managing tenants.

Who can invest, and what is the minimum?

This is not a public offering. Units may be purchased only by investors who qualify under applicable Canadian securities laws. The published minimum subscription is CAD $10,000. Additional amounts, plan types, and dealer requirements are in the current offering documents.

What should I read before investing?

Start with the current Offering Memorandum, then the portfolio, fees, redemption terms, and risk factors. Marketing pages and this video are not a substitute. Review documents with a registered Exempt Market Dealer and, if needed, a tax advisor before any subscription.

What does the investment process look like?

Typical path: a discovery call with Investor Relations, review of the Offering Memorandum and related materials, confirm you qualify, then subscribe through a registered Exempt Market Dealer. A call or document request is not an offer to sell Units and not a commitment to invest.

What do unitholders get?

Unitholders own Units of the REIT. Occupancy, leases, and operations are handled by the management team. The REIT intends to make regular distributions of available cash; those distributions are not guaranteed and may be reduced or suspended. Unit value can go down.

What are distributions?

A distribution is cash the REIT pays to unitholders. It is not a GIC coupon and not the same as property rent or a cap rate. InvestPlus disclosure states distributions may be reduced or suspended. How a payment is classified for tax (income vs. return of capital) is a separate question.

What is return of capital?

Return of capital is a tax classification of cash paid to you. It typically reduces your adjusted cost base rather than being taxed as income in the year received, until ACB is exhausted. How InvestPlus payments are reported is in the offering documents and your tax slips. This is not tax advice.

How does return of capital impact ROI?

ROC changes the tax timing and your cost base. It does not by itself mean the investment earned more. Compare cash received, remaining ACB, and change in Unit value — and read the Offering Memorandum. A tax advisor should review your situation.

What fees should I understand?

A discovery call and requesting documents cost $0. If you subscribe, the Offering Memorandum discloses dealer compensation, asset-management fees, acquisition/transaction costs, property operating costs, financing costs, and any redemption or transfer costs. Percentages can change when a new offering is filed.

How does InvestPlus use debt and leverage?

The REIT may use mortgages or other debt. Interest and related costs reduce cash available to the REIT. Leverage can enlarge equity gains and losses. Maturity dates, coupons, and coverage belong in the offering file — not in a headline loan-to-value number alone.

How should I think about liquidity?

There is currently no public market for the Units, and no assurance one will develop. Redemptions, if offered, may be limited, delayed, or suspended. Do not invest money you may need quickly.

How long should I stay invested?

Private REIT Units are a longer-horizon product because liquidity is limited. There is no required hold period stated on this page. Match the time you can leave capital invested to the redemption terms in the Offering Memorandum.

How is unit value calculated?

Private REIT Units are not priced on an exchange. InvestPlus materials describe Unit value using periodic appraisals of the underlying properties rather than a daily stock quote. The method, frequency, and any adjustments are in the Offering Memorandum. Unit value can go down.

Why Western Canada, and why now?

InvestPlus strategy is written around Western Canada industrial operations — energy services, construction, logistics, trades, manufacturing, and regional distribution — not a national industrial slogan. Local occupancy, supply, and rents still have to be underwritten building by building.

Why focus on industrial real estate?

InvestPlus focuses on industrial real estate: warehouses, distribution facilities, light-industrial buildings, and related commercial properties that businesses use to store products, operate, and move goods. Industrial is a property type, not a guarantee of occupancy or returns.

What is the essential economy?

InvestPlus uses this phrase for the operating businesses that need industrial space — storage, freight, trades, manufacturing, and regional commerce. That is the use case for the buildings. It is not a forecast that any one lease or Unit will perform.

InvestPlus is a private industrial REIT focused on Western Canada, with a published portfolio of industrial buildings rather than a diversified public-market ticker. Difference is not the same as lower risk. Compare assets, fees, debt, liquidity, and the Offering Memorandum.

How do private and public REITs differ?

Public REITs trade on an exchange and can move with equity-market sentiment. InvestPlus is private: Units are not listed, and there is currently no secondary market. Private structures typically offer less liquidity. Values, if reported, are not a daily stock quote.

How does risk compare to multifamily?

Industrial and multifamily are different tenant, lease, capex, and vacancy profiles. Neither is automatically safer. InvestPlus is an industrial portfolio. Compare lease terms, tenant concentration, and building use — not a slogan about which sector “wins.”

How do you think about risk?

Units can lose value. This is not a bank deposit or CDIC-insured product. Tenant, lease, interest-rate, financing, vacancy, and market risk all apply. Distributions are not guaranteed. Read the risk factors in the current Offering Memorandum.

What do investors often miss?

Headline occupancy, a quoted yield, or “industrial” as a category is not the file. Leases, expiries, tenant concentration, debt maturities, fees, how distributions are funded, and redemption terms are. The building and the offering documents still have to be read.

How often will I receive updates?

Watch for the reporting cadence InvestPlus describes for unitholders. Current investors also use the investor portal. Frequency of an update is not the same as a guarantee of performance.

Do you manage properties in-house?

Occupancy, leases, and operations are handled by the InvestPlus management team rather than by each unitholder. Watch for how they describe on-site versus in-house property management. Direct ownership still means you take investment risk, fees, and liquidity limits.
